LE SERVICE EST PROPOSE PAR HAGER SAS. L'ACCES A L’APPLICATION « HAGER PILOT » (CI-APRES LE « SERVICE ») EST POSSIBLE SOUS RESERVE DU RESPECT, PAR L’UTILISATEUR (TEL QUE DEFINI CI-APRES), DES CONDITIONS SPECIFIQUES D’UTILISATION ENONCEES CI-DESSOUS, DONT IL A PRIS CONNAISSANCE AU MOMENT DE SA CONNEXION AU SERVICE.

L’UTILISATION DU SERVICE IMPLIQUE L’ACCEPTATION DES CONDITIONS D’UTILISATION LORS DE LA PREMIERE CONNEXION. IL EST RECOMMANDE DE LIRE LES CONDITIONS D’UTILISATION PREALABLEMENT A CHAQUE UTILISATION DU SERVICE DES LORS QUE CELLES-CI PEUVENT ETRE MODIFIEES A TOUT MOMENT ET SANS PREAVIS

L’UTILISATEUR DECLARE EN CONSEQUENCE ACCEPTER LES PRESENTES CONDITIONS D’UTILISATION. 


L'application « Hager Pilot » (ci-après dénommée « Hager Pilot App ») est une application pour Mobiles et Tablettes, fonctionnant sous iOS et Android, ainsi que les Ordinateurs fonctionnant sous Windows et MacOS.


CONTENU DES CONDITIONS D’UTILISATION


Les présentes Conditions constituent les règles d'utilisation de l'application Hager Pilot et forment un contrat entre l'utilisateur de Hager Pilot App et HAGER SAS (« HAGER » ). 



1. DÉFINITIONS


Dans les présentes Conditions, les termes utilisés ci-dessous ont la signification suivante, qu'ils soient utilisés au singulier ou au pluriel :

Cloud : désigne l’endroit où sont stockées les ressources informatiques et les données auxquelles il est possible d’accéder à distance via un réseau de communication ; 

Législation sur la protection des données : désigne, selon le cas, la législation applicable à l'une ou l'autre des parties : 
1. le Règlement général sur la protection des données du 27 avril 2016 ;
2. la loi sur la protection des données de 2018 ; 
3. le règlement de 2003 sur la protection de la vie privée et les communications électroniques (directive CE) ; 
4. le règlement de 2019 sur la protection des données, la vie privée et les communications électroniques (modifications, etc.) (sortie de l'UE) ; 
5. toute autre loi applicable relative au Traitement, à la confidentialité et/ou à l'utilisation des Données à caractère personnel, telle qu'applicable à l'une ou l'autre partie ; 
6. toute loi qui met en œuvre ces lois ; et,
7. toute loi qui remplace, étend, réadopte, consolide ou modifie l'une des lois susmentionnées. 

Utilisateur final : désigne le client de l'utilisateur ;

Cas de force majeure : tout événement survenant en dehors du contrôle raisonnable de la partie affectée (y compris tout conflit industriel affectant un tiers, toute réglementation gouvernementale, toute endémie, toute pandémie, tout incendie, toute inondation, toute intempérie, tout désastre, toute émeute civile ou toute guerre).

Hager Pilot App ou Application : désigne à la fois (i) l'application logicielle pour Mobiles et Tablettes « Hager Pilot App » téléchargeable sur les stores Apple et Google et mise à disposition par HAGER et (ii) les « Services » rendus par Hager ; 

HAGER SAS ou Hager : désigne la société HAGER SAS, société par actions simplifiée au capital de 39 365 700,00 € immatriculée au registre du commerce et des sociétés de Saverne sous le numéro 712 063 759 et dont le siège social est situé au 132 boulevard d'Europe - 67210 Obernai - France ; 

Contenu Hager : le contenu incluant tous les Droits de Propriété Intellectuelle (autre que le Contenu généré par l’Utilisateur) présent sur l'Application dans le but d'utiliser les Services ou de faciliter les Services (ce qui peut inclure ou non des Données Personnelles) ;

Services : désigne les services fournis par HAGER via l'Application dans le cadre de l'utilisation de celle-ci, tel que décrits plus en détail à l'article 5 des présentes Conditions. 

Mobile : désigne les smartphones utilisés pour accéder à l’Application via une connexion internet ; 

myHager : désigne le site internet édité par HAGER SAS permettant à un Utilisateur ayant créé un compte personnel d'accéder à un ensemble de services ; 

Données Personnelles : désigne les Données Personnelles telles que définies dans la Législation sur la protection des données ;

Appareil connecté : désigne l'appareil qui contrôle ou tout autre appareil devant être activé, configuré ou entretenu par Hager Pilot App ;

Tablette : désigne les écrans tactiles utilisés pour accéder à l’Application via une connexion internet ; 

Utilisateur : désigne toute personne physique professionnelle de l’électricité qui accède à Hager Pilot App et l'utilise ;

Contenu Utilisateur : désigne toutes les données (y compris, sans limitation, le texte, les graphiques, les images, le matériel audio, le matériel vidéo, les scripts, les logiciels et les fichiers) que l’Utilisateur télécharge, intègre ou affiche et/ou stocke/publie sur l'Application au titre de son activité professionnelle, ainsi que le traitement par, ou la transmission via l’Application Hager Pilot (peut inclure ou non des Données Personnelles). 


2. L’UTILISATION DE L'APPLICATION HAGER PILOT


L’utilisation du Service peut impliquer que l’Utilisateur accepte d’autres Conditions générales ou particulières. 

Pour pouvoir utiliser les Services, L’Utilisateur doit accepter sans réserve les présentes Conditions d’Utilisation relatives à la fourniture du Service et les conditions de licence (« licence d’utilisateur final »). Si L’utilisateur n'accepte pas ces Conditions en tout ou en partie, l'accès au service ne sera pas accordé.
Les contrats conclus entre l’Utilisateur et Hager (conditions générales, conditions spécifiques et licence d’utilisateur final) régissent l’utilisation des Services et des produits logiciels essentiels à leur réalisation. Si l’Utilisateur clique sur "j'accepte", il accepte ces conditions sans réserve et pendant toute la durée de l’accès aux Services.

LE SERVICE S'ADRESSE AUX CLIENTS PROFESSIONNELS QUI UTILISENT HAGER PILOT A DES FINS PROFESSIONNELLES UNIQUEMENT.



Les Conditions peuvent être modifiées à tout moment, et l’Utilisateur doit toujours s’assurer qu’il se réfère à la version en vigueur telle que publiée sur l’Application.

Ces Conditions s'appliquent à l’utilisation de Hager Pilot App. Elles ne modifient pas les termes de tout autre accord exprès et écrit entre Hager et l’Utilisateur.

L’Utilisateur déclare et garantit :
- Être un professionnel de l'électricité et utiliser Hager Pilot App à des fins professionnelles
- Qu’il a plus de 18 ans et qu’il est légalement capable d'accepter ces Conditions. S’il utilise Hager Pilot App au nom d'une entité, il déclare et garantit d’être autorisé à accepter ces Conditions au nom de cette entité, et que cette entité accepte d’indemniser Hager en cas de violation de ces Conditions. 

L’Utilisateur garantit Hager contre toute réclamation résultant d'une violation de cette garantie.

4. SERVICES


Hager Pilot App offre uniquement des services à destination de professionnel de l’électricité qui utilisent Hager Pilot App à des fins professionnelles, sous leur propre responsabilité, notamment au regard des normes et législations applicables.

Hager s'engage à ce que les Services Hager soient exécutés avec un soin raisonnable. Aucune garantie ne s'applique pas dans l’hypothèse d'une non-conformité qui serait causée par une utilisation contraire aux présentes Conditions, ou la modification ou l'altération des Services par un tiers. Si les Services ne sont pas conformes à l'engagement susmentionné, Hager mettra en œuvre les efforts commerciaux raisonnables qu’elle estime nécessaire pour corriger cette non-conformité. Cette correction constitue le seul et unique recours offert à l’Utilisateur en cas de violation de l'engagement énoncé au présent paragraphe.

Les présentes conditions n'empêchent pas Hager de conclure des conditions similaires avec des tiers ou de développer, d'utiliser, de vendre ou d'octroyer des licences de manière indépendante pour des services similaires à ceux fournis ici. 

Disponibilité et sécurité de l’Application et des Services :

4.1. HAGER fournit l'Application et les Services Hager conformément aux présentes Conditions.
4.2. Les Services sont fournis " en l'état " et " selon la disponibilité ". Hager ne fait aucune déclaration, ne donne aucune garantie, qu'elle soit expresse ou implicite, que l'application Hager Pilot et les Services : 
- Seront toujours disponibles ou ininterrompus ; 
- Seront exempts d'erreurs, exacts, complets ou à jour ; 
- Ou, seront sécurisés ou exempts de bogues ou de virus. 

4.3. HAGER ne sera pas responsable si, pour quelque raison que ce soit, Hager Pilot App et les Services ne sont pas disponibles à tout moment ou pour toute période. 

4.4. Hager s’engage uniquement à fournir les efforts commercialement raisonnables pour rendre l'Application Hager Pilot et les Services disponibles à l’Utilisateur vingt-quatre (24) heures par jour, sept (7) jours par semaine, sauf en cas : 
- De maintenance planifiée effectuée en dehors des heures d'ouverture de Hager ; et,
- De maintenance d’urgence non programmée qui pourrait être requise.

5. UTILISATION DE L'APPLICATION 


NOTE IMPORTANTE AUX UTILISATEURS :


Hager Pilot App est un outil conçu pour faciliter certaines tâches entreprises par les Utilisateurs dans le cadre de leurs services professionnels uniquement. Elle permet à un Utilisateur d'accéder, de programmer, de contrôler et de maintenir un Appareil connecté. L'Utilisateur a l'obligation d'effectuer les vérifications nécessaires pour s'assurer que l’Appareil connecté est conforme aux normes et réglementations applicables. L'Utilisateur est seul et unique responsable de son utilisation de l'Application et de l’Appareil connecté, du Contenu et/ou des Données Personnelles qui y sont introduites par lui, ainsi que de la conformité aux normes et réglementations légales applicables des installations et/ou paramétrages qu’il effectue.

Pour utiliser l'Application, l'Utilisateur doit télécharger l'Application à partir des magasins Apple ou Google, et doit être connecté à internet.

Pour accéder à Hager Pilot App qui donne accès aux Services, l'Utilisateur doit soit créer un compte personnel sur myHager, soit se connecter à son compte, si une telle option existe. La création d'un compte personnel myHager nécessite : l'acceptation par l'Utilisateur de la Politique de confidentialité du portail myHager, et des conditions d'utilisation propres au site myHager. Pour créer un compte myHager, l'utilisateur doit saisir des données personnelles.

Fonctionnalités de tiers :
5.1. En cas de mise en ligne d’une option de sauvegarde sur le Cloud, cette fonction permet à l'Utilisateur de sauvegarder ses projets sur un serveur distant (le « Cloud »), à condition que l'Utilisateur soit connecté à son compte personnel myHager. Les données et les projets sont hébergés sur le Cloud dans des centres de données situés en Europe. 

Fonctionnalités de partage :
5.2. L'Utilisateur est seul et unique responsable de tout ce qu'il partage sur des sites tiers, l'Utilisateur garantit, accepte et s'engage à ce que ce ne soit pas un moyen sécurisé de partager des données, et le fait à ses risques et périls sous sa responsabilité exclusive et unique. En conséquence, HAGER ne peut en aucun cas être tenu responsable des conséquences d'un tel partage par l'Utilisateur. 


6. ABSENCE DE GARANTIE 


L'Utilisateur comprend, reconnaît et accepte : 

6.1. HAGER ne donne aucune garantie expresse ou implicite concernant le contenu et/ou l'utilisation de Hager Pilot App et/ou la manière dont les documents ou le contenu sont générés.

6.2. HAGER ne garantit PAS spécifiquement que :
Le contenu et/ou les documents générés via l'Application répondront aux attentes et exigences de l'Utilisateur ou produiront les résultats qu'il souhaite ; 

L'Application fonctionnera sans interruption ou erreurs opérationnelles, ou de manière sécurisée ; et

La qualité du service, notamment les résultats obtenus via l'Application, répondra aux attentes de l'Utilisateur.


7. MISES A JOUR ET MODIFICATIONS 


7.1. Mises à jour :
Le produit logiciel est entretenu par Hager et modifié ou mis à jour au fil du temps en fonction des besoins. Hager effectue ces mises à jour sous forme de corrections d'erreurs, de patchs, de fonctions étendues et de nouvelles versions au moyen de procédures standard dans le système d’exploitation de l’Appareil Smart Home ou via la plateforme de l’Application. Dans la mesure où la loi le permet, l’Utilisateur n’a aucun droit spécifique aux mises à jour du logiciel.
Hager décline toute responsabilité pour toute erreur du service imputable au fait que l’Utilisateur n’a pas, ou pas complètement, téléchargé et/ou installé les mises à jour disponibles, ainsi qu’en cas de non-respect des consignes fournies. Il est de la responsabilité de l'utilisateur de suivre les instructions permettant de s'assurer de la bonne installation de la mise à jour et par voie de conséquence du bon fonctionnement de l’Appareil Smart Home .

7.2. Amendements/Modifications : 
7.2.1. Hager se réserve le droit de modifier la spécification des Services sur Hager Pilot App si cela est requis par toute exigence légale ou réglementaire applicable ou si Hager estime que la modification n'affecte pas matériellement la nature ou la qualité des Services ou s'il est nécessaire d'apporter des améliorations ou des ajustements techniques mineurs pour traiter la sécurité et la fonctionnalité. Veuillez consulter régulièrement Hager Pilot App pour prendre connaissance de ces mises à jour. Les modifications majeures apportées aux spécifications afin d'assurer une meilleure expérience client et plus de précision seront communiquées à l’Utilisateur. 

7.2.2. Hager peut modifier les présentes Conditions à tout moment, pour refléter tout changement de l’Application et/ou des Services, les besoins de ses clients et ses priorités commerciales. Hager tentera tant que cela est possible de respecter un préavis raisonnable avant la mise en œuvre de ces changements et publiera les Conditions mises à jour sur Hager Pilot App. L’Utilisateur s’engage à vérifier ces Conditions régulièrement et au moins à chaque fois qu’il utilise l’Application pour s’assurer qu’il accepte les Conditions en vigueur. L’Utilisateur est réputé avoir accepté toute modification des Conditions s’il continue à accéder ou à utiliser Hager Pilot App. 

Hager peut également mettre à jour et modifier l’Application de temps à autre à sa seule discrétion. 

 8. ACCÈS A L’APPLICATION ET FONCTIONNEMENT


8.1. Avis de non-responsabilité concernant le contenu de l'Application :
Le matériel et les informations publiés sur Hager Pilot App ne sont pas des conseils et ne doivent pas être considérés comme tels. Tous les documents et informations sont uniquement destinés à la publicité et à l'information. Hager décline toute responsabilité découlant de la confiance accordée à ces informations par un client professionnel. Hager ne garantit pas que le contenu de Hager Pilot App sera exempt d'erreurs, de chevaux de Troie, de virus, de bogues, etc., ni ne fait aucune déclaration concernant la qualité, l'exactitude ou l'exhaustivité du contenu disponible sur l’Application.

8.2. Sécurité et utilisation de Hager Pilot App :
L’Utilisateur est responsable du maintien d'un logiciel approprié sur son ordinateur ou son appareil pour se protéger par exemple contre les erreurs, les bugs, les chevaux de Troie ou les virus. 

8.3. Engagement de l’Utilisateur :
L’Utilisateur déclare et garantit qu’il se conformera à toutes les lois et réglementations applicables, y compris, sans limitation, celles relatives à l'Internet, aux données, aux communications électroniques, à la vie privée et à la transmission des données applicables en France lors de l'utilisation de Hager Pilot App.

8.4. Disponibilité, Interruptions ou Retrait :
HAGER s'efforcera raisonnablement de maintenir le système disponible et de maintenir la fonctionnalité du système à tout moment. HAGER se réserve le droit d'interrompre à tout moment l'exploitation de l'Application, avec ou sans notification, notamment dans le but d'assurer la maintenance corrective et permanente, ou d'améliorer le contenu ou l'apparence. Dans la mesure du possible, HAGER informera les Utilisateurs préalablement à toute opération de maintenance corrective et évolutive. L'Utilisateur accepte et reconnaît que l'Application peut être interrompue pour des raisons indépendantes de la volonté de HAGER et que HAGER ne peut garantir un accès ininterrompu à l'Application. 

HAGER ne sera pas responsable envers l’Utilisateur ou toute autre personne de toute perte ou dommage résultant de l'indisponibilité, de l'interruption ou du dysfonctionnement de Hager Pilot App et/ou des Services en toutes circonstances, quelle qu'en soit la cause. 

HAGER se réserve le droit exclusif de supprimer ou de modifier tout ou partie des Services accessibles aux Utilisateurs ou des fonctionnalités de l'Application, ou de retirer totalement l’Application, et ne pourra en aucun cas être tenue pour responsable par ses Utilisateurs de ce fait. 

Les Utilisateurs sont invités à informer HAGER de tout problème technique qu'ils rencontreraient lors de la navigation et/ou de l'utilisation de l’Application en envoyant une description du problème rencontré à l'adresse électronique suivante : assistance.technique@hager.fr

8.5. Déconnexion en fin de session :
Il est nécessaire de se déconnecter de Hager Pilot App à l’issue de chaque utilisation afin d’éviter les transactions ou utilisations non autorisées qui peuvent en résulter, pour lesquelles Hager ne pourra en aucun cas être tenu pour responsable. 

8.6. Fiabilité :
Le contenu de l’Application est fourni à titre d'information générale uniquement. Il n'est pas destiné à constituer un conseil sur lequel l’Utilisateur doit s’appuyer. Bien que Hager fasse des efforts raisonnables pour mettre à jour les informations sur l’Application, Hager ne fait aucune déclaration, garantie ou assurance, expresse ou implicite, que le contenu de l’Application est exact, complet ou à jour. 

8.7. Inscription :
L’Utilisateur devra créer un compte en remplissant et en soumettant le formulaire d'enregistrement sur l’Application et en cliquant sur le lien de vérification dans l'email. Les détails de votre compte ne doivent pas essayer d'induire en erreur ou d'usurper l'identité d'une autre entreprise ou de tout autre personne. 

8.8. Mots de passe et protection du compte :
La création d’un compte sur l’Application, nécessite de renseigner un nom d'utilisateur et un mot de passe.

L’Utilisateur est responsable de l'accès à Hager Pilot App en utilisant sa connexion Internet, même s’il autorise l’accès à une autre personne. L’Utilisateur reste responsable de la sûreté et de la sécurité de tout mot de passe et des détails de connexion relatifs à Hager Pilot App et à tout compte pour lequel il s’est inscrit. Afin de protéger son compte contre tout accès non autorisé, Hager suggère de conserver le nom d'utilisateur et le mot de passe en toute sécurité et de ne jamais les divulguer à qui que ce soit. Hager recommande également de se déconnecter du compte à la fin de chaque session. Il est impératif de fermer la fenêtre du navigateur lorsque l’Utilisateur a terminé sa session, en particulier s’il partage un ordinateur avec quelqu'un d'autre ou s’il utilise un ordinateur dans un lieu public.

8.9. Accès non autorisé : 
Si l’Utilisateur soupçonne qu'un accès non autorisé a été effectué sur son compte, il doit en informer immédiatement Hager à l'adresse indiquée dans la clause 3.1 ci-dessus. Hager enquêtera sur toute activité suspecte. Hager se réserve le droit, et le cas échéant sur votre demande, de désactiver ou de bloquer le compte et tout code d'identification d'utilisateur ou mot de passe à tout moment lorsqu'il est soupçonné qu'un accès non autorisé a été fait sur ce dernier ou pour toute autre raison raisonnable à notre discrétion. 

8.10. Restriction d’accès :
Hager se réserve le droit de restreindre l’accès à Hager Pilot App ou à une partie de celle-ci. L'accès aux zones restreintes de Hager Pilot App peut être soumis à des conditions d'enregistrement et autres. Si Hager accorde l'autorisation d'accéder à une zone restreinte de Hager Pilot App (telle que la partie que seuls les Utilisateurs enregistrés peuvent voir), Hager peut retirer cette autorisation à tout moment (y compris en cas de non-respect de tout ou partie des présentes Conditions). Hager peut, par exemple, suspendre l'accès à Hager Pilot App pendant la maintenance du serveur ou lorsque Hager met à jour Hager Pilot App. L’utilisateur ne doit pas contourner ou essayer de contourner ou les mesures de restriction d'accès à Hager Pilot App, par exemple en créant un nouveau nom d'utilisateur/compte.

8.11. Suspension ou suppression du compte par Hager : 
Hager se réserve la possibilité, à sa seule discrétion, de : 
- modifier les détails du compte ;
- suspendre temporairement le compte ; et/ou supprimer le compte à tout moment conformément à la clause 11.6 ci-dessous ou pour toute autre raison.

8.12. Suppression de compte par l’Utilisateur :
L’Utilisateur peut à tout moment supprimer son compte en accédant à la page mon compte myHager de hager.fr. 


9. UTILISATION DE L’APPLICATION 


9.1. Téléchargement :
L’Utilisateur doit avoir téléchargé « Hager Pilot » disponible sur les magasins Apple et Google. 

9.2. Engagements : 
Lorsque l’Utilisateur utilise l’Application, il garantit et s’engage à se conformer aux présentes Conditions à tout moment.

9.3. Mises à jour :
Hager recommande de mettre à jour la dernière version logicielle de l’Application. Cette mise à jour se fait à la seule discrétion et sous la responsabilité de l’Utilisateur. En aucun cas l’Utilisateur ne doit pas encourager, demander ou permettre à son client d'utiliser l’Application et d’effectuer seul une telle mise à jour.

9.4. Restrictions :
L’Utilisateur ne peut pas :
- Utiliser Hager Pilot App ou le contenu pour une utilisation autre que celle prévue. Etant rappelé que le site et/ou l’Application est principalement destinée aux personnes se trouvant en France lors de l’utilisation. Hager ne garantit pas que le contenu de l’Application soit disponible ou approprié dans d'autres pays. Hager se réserve le droit de limiter la disponibilité de l’Application à une zone géographique donnée. 

- Imprimer, télécharger, copier, adapter ou retransmettre tout ou partie de Hager Pilot App ou du Contenu, sauf pour l’utilisation professionnelle de Hager Pilot App sous la responsabilité de l’Utilisateur. Cela signifie que l’Utilisateur peut imprimer une copie pour son usage professionnel, s’il l’estime nécessaire. Le statut d'auteur de Hager concernant le contenu doit toujours être reconnu ; 

- Utiliser des méthodes d'exploration de données, des robots ou des méthodes similaires de collecte ou d'extraction de données ; 

- Manipuler ou afficher Hager Pilot App ou son contenu en utilisant la transclusion (« framing ») ou une technologie similaire ; 

- Enregistrer, s'abonner, se désabonner ou tenter d'enregistrer, de s'abonner ou de se désabonner d'une partie si l’Utilisateur n'est pas expressément autorisé par cette partie à le faire ou essayer d'usurper l'identité d'une partie en le faisant ; 

- Utiliser Hager Pilot App ou son contenu autrement que pour l'usage auquel il est destiné ou en violation de toute loi applicable, y compris, sans limitation, les lois sur les droits d'auteur et les marques déposées, les lois sur la vie privée et la publicité, et la législation et les réglementations applicables aux communications ; 

- Utiliser Hager Pilot App pour diffamer, abuser, harceler, traquer, menacer ou autrement violer tous droits d'autrui, y compris, sans limitation, les droits à la vie privée ou les droits de publicité d'autrui, usurper l'identité d'une personne ou d'une entité, déclarer faussement ou présenter de manière erronée son affiliation avec une personne ou une entité en relation avec Hager Pilot App ; ou exprimer ou impliquer que Hager approuve toute déclaration faite par l’Utilisateur ;

- Utiliser l’Application à des fins contraires aux règles applicables et pour ne pas porter atteinte aux droits des tiers (notamment les droits de propriété intellectuelle, les données personnelles et les droits à la vie privée) ; 

- Utiliser l’Application pour s'introduire illégalement dans un système de traitement de l'information pour quelque raison que ce soit, ou pour envoyer un grand nombre de messages non sollicités à des tiers ;

- Télécharger toutes les Données ou toutes données (le cas échéant et y compris les noms d'utilisateur et les mots de passe) dont le contenu est malveillant, faux, trompeur, frauduleux, diffamatoire ou offensant. Toute violation de cette clause constitue une infraction grave et peut entraîner la suppression de ces informations et/ou le refus de notre part d'autoriser d'autres relations, la suspension et/ou l'annulation de vos droits d'Utilisateur de l'Application, et/ou d'éventuelles poursuites judiciaires auprès des autorités compétentes. Dans ce cas, l’Utilisateur ne pourra formuler aucune réclamation, de quelque nature que ce soit, contre Hager découlant de cette suspension, annulation ou poursuite selon le cas ;

- Interférer ou perturber le fonctionnement de Hager Pilot App ou des serveurs ou réseaux utilisés pour rendre Hager Pilot App disponible ; ou violer toute exigence, procédure, politique ou réglementation de ces réseaux ; 

- Transmettre ou mettre à disposition en relation avec Hager Pilot App tout virus, ver, cheval de Troie ou autre code informatique nuisible ou invasif ou peut ou est destiné à endommager le fonctionnement ou à contrôler l'utilisation de tout matériel, logiciel ou équipement ; 

- Modifier, adapter, traduire, faire de l'ingénierie inverse, décompiler, désassembler, contourner, désactiver ou perturber de quelque manière que ce soit toute partie ou tout dispositif de sécurité de l’Application et empêcher ou restreindre l'utilisation ou la copie du contenu ou imposer des limitations à l'utilisation des fonctionnalités ou du contenu accessibles sur l’Application ; 

- Supprimer tout droit d'auteur, marque déposée ou autre avis de droits de propriété de Hager Pilot App ou du matériel provenant de Hager Pilot App ; 

- Encadrer, refléter ou distribuer toute partie de Hager Pilot App, y compris le contenu, en totalité ou en partie, sur tout autre support, sans Notre consentement écrit préalable et exprès ; 

- Créer une base de données en téléchargeant et en stockant systématiquement le contenu de l’Application ; 

- Utiliser tout dispositif manuel ou automatique de quelque manière que ce soit pour rassembler le contenu de l’Application ou reproduire ou contourner la structure de navigation ou la présentation de l'Application sans le consentement préalable et exprès écrit de Hager. 

En ce qui concerne l’utilisation du Contenu sur Hager Pilot App, l’Utilisateur accepte, comprend et reconnait que : 

9.5. L’Application est une plateforme à destination d’Utilisateurs professionnels, dans le but de fournir des services professionnels uniquement. 

9.6. Les Utilisateurs font usage de tout le contenu publié sur l’Application à leurs propres risques et utilisent volontairement les Services en connaissance de cause. Ils n'ont pas été incités à utiliser Hager Pilot App ou le contenu par Hager ou l'une quelconque de ses sociétés affiliées.

9.7. Sauf indication contraire dans les présentes Conditions, et dans la mesure maximale autorisée par la loi applicable, Hager n’est pas responsable, directement ou indirectement, de toute perte ou de tout dommage subi du fait de l'utilisation ou de l'impossibilité d'utiliser Hager Pilot App, même si cela est causé en tout ou en partie par l’action, l’inaction ou une négligence de Hager. Conformément à ses dispositions contractuelles et aux dispositions légales, l’Utilisateur s’engage et garantit Hager de toute réclamation découlant des dispositions susmentionnées, quelle qu’en soit l’origine.


10. CONTENU UTILISATEUR


10.1. Création de compte :
L’enregistrement en tant qu'Utilisateur est nécessaire sur son compte myHager afin de pouvoir télécharger du contenu à partir de l'Application.

10.2. L’Utilisateur est responsable des renseignements fournis afin d’utiliser l'Application. 

10.3. L’Utilisateur a la possibilité d’éditer son contenu en utilisant la fonctionnalité d'édition mise à disposition sur l’Application, lorsque cela est rendu possible par l’Application.

10.4. Sans préjudice d’autres droits de Hager en vertu des présentes Conditions d’utilisation de l’application, si l’Utilisateur enfreint l'une des dispositions des présentes Conditions générales de quelque manière que ce soit, ou si Hager soupçonne raisonnablement une violation des présentes Conditions de quelque manière que ce soit, Hager pourra supprimer, retirer ou éditer tout ou partie du contenu de l’Utilisateur et supprimer le compte associé ou toute possibilité d’accès à l’Application, selon le moyen à sa convenance.

10.5. Règles concernant le contenu produit par l’Utilisateur :
L’utilisateur garantit et confirme que ce contenu est entièrement conforme aux présentes conditions.

Notamment, le contenu ne doit pas être illégal, ne doit pas enfreindre les droits légaux d'une personne et ne doit pas pouvoir donner lieu à une action en justice à l'encontre d'une personne (dans chaque cas, dans toute juridiction et en vertu de toute loi applicable). 

Le contenu, et l'utilisation du contenu par Hager conformément aux présentes Conditions, ne doit pas être susceptible de : 

10.6. enfreindre tout droit d'auteur, droit moral, droit de base de données, droit de marque, droit de conception, droit de substitution ou autre droit de propriété intellectuelle ; 

10.7. enfreindre tout droit de confidentialité, droit à la vie privée ou droit en vertu de la législation sur la protection des données ; 

10.8. constituer un conseil négligent ou contenir une déclaration négligente ; 

10.9. constituer une incitation à commettre un délit, des instructions pour la commission d'un délit ou la promotion d'une activité criminelle ; 

10.10. constituer un outrage à un tribunal ou une violation d'une décision de justice ;

10.11. enfreindre la législation sur les secrets d'État ; 

10.12. ne pas respecter une obligation contractuelle à l'égard d'une personne ; 

10.13. représenter la violence de manière explicite, graphique ou gratuite ; 

10.14. être fausses, erronées, inexactes ou trompeuses ; 

10.15. consister en ou contenir des instructions, des conseils ou d'autres informations qui peuvent être suivis d'effets et qui pourraient, s'ils sont suivis d'effets, causer des maladies, des blessures ou la mort, ou toute autre perte ou dommage ; 

10.16. constituer un spam ; 

10.17. être offensant, trompeur, frauduleux, menaçant, abusif, harcelant, antisocial, menaçant, haineux, discriminatoire ou incendiaire ; où 

10.18. causer des ennuis, des désagréments ou une anxiété inutile à toute personne. 

11. DROITS DE PROPRIÉTÉ INTELLECTUELLE 


11.1. En tant qu'Utilisateur de l’Application, l’utilisation d’une fonctionnalité qui permet de télécharger et de publier du Contenu vers et/ou via l'Application, L’Utilisateur accorde automatiquement à Hager et à chaque utilisateur, une licence mondiale, non exclusive et libre de droits d'utiliser, d'accéder, de reproduire, de partager et de redistribuer le contenu transmis, de reproduire, partager et redistribuer ce Contenu dans la mesure permise par les fonctionnalités des Services et selon les termes de la présente Licence (ou de tout autre terme applicable) ("Votre Contenu"). Toute autre condition applicable) ("Licence de propriété intellectuelle de votre contenu").

11.2. L’Utilisateur reconnait que Hager n'a aucune obligation de contrôler le contenu. Hager peut choisir de mettre fin à l’accès à l'Application à tout moment ou exercer tout autre recours disponible et/ou modifier ou supprimer tout Contenu non autorisé, si Hager estime que Votre Contenu fourni a violé, enfreint des droits d'auteur ou d'autres droits de tiers (tels que la vie privée ou les droits publics), est incompatible avec les Conditions ou a violé les droits de Hager ou d'un autre Utilisateur. Nonobstant cela, en tant qu'Utilisateur qui publie et met à disposition du contenu via l'Application, vous restez seul responsable et supportez le risque juridique associé à ce contenu partout dans le monde. 

11.3. En tant qu'Utilisateur, vous pouvez mettre à jour votre Contenu en ce qui concerne votre profil ou votre page de progression une fois que vous l'avez publié. La Licence octroyée sur votre contenu prend fin lorsque ledit contenu (y compris toutes les copies de celui-ci) est définitivement supprimé de l'Application par l’Utilisateur ou par Hager et que vous n'êtes plus un Utilisateur, quelle qu'en soit la raison. 

11.4. A l'exception de Votre Contenu soumis à l'Application par l’Utilisateur, tout le contenu et la sélection et l'arrangement de ce contenu sur l'Application constitue le Contenu Hager et est soit la propriété de, ou sous licence de, Hager et est soumis aux droits d'auteur, droits de marque, et autres Droits de propriété intellectuelle de Hager et des concédants de licence de Hager. Hager ne fait aucune déclaration et ne donne aucune garantie quant à la validité ou à l'applicabilité des droits de propriété intellectuelle persistant dans le contenu de Hager. Toutes les marques de commerce ou de service de tiers présentes dans le contenu de Hager sont des marques de commerce ou de service de leurs propriétaires respectifs. A l'exception des licences expressément accordées par les présentes, aucune des parties n'accorde de licence, de droit ou de cession de ses droits de propriété intellectuelle.

11.5. Le Contenu de Hager, à l'exception de Votre Contenu, y compris, mais sans s'y limiter, le texte, les photos, les graphiques, les marques, les logos, les icônes, les images, les clips sonores, les clips vidéo, les compilations de données, la mise en page, les animations, le code sous-jacent et les logiciels sont la propriété de Hager, de ses affiliés ou d'autres tiers concernés, ou leur sont concédés sous licence. Ce matériel est confidentiel et protégé par la propriété intellectuelle applicable, les droits d'auteur et autres lois pertinentes et Vous ne pouvez pas utiliser le matériel sur Hager Pilot App sans l’autorisation préalable écrite de Hager. 

11.6. HAGER accorde aux Utilisateurs une licence individuelle, non exclusive et libre de redevance pour l'utilisation de Hager Pilot App et de tout logiciel associé.

11.7. L’Utilisateur garantit et s’engage à ne pas, directement ou indirectement, reproduire, copier, modifier, louer, distribuer, stocker, créer des travaux dérivés, faire de l'ingénierie inverse ou désassembler ou tenter de trouver le code source (sauf dans les cas requis par la loi), vendre, attribuer, sous-licencier ou transférer de quelque manière que ce soit les droits attachés à l'Application ou à ses logiciels associés ou réutiliser de quelque manière que ce soit le matériel de l'Application, sauf indication contraire sur l'Application ou sauf autorisation écrite expresse de Hager

11.8. Hager apprécie les avis/retours d’expérience et l’Utilisateur reconnait et accepte, s’il choisit de partager ou de soumettre des commentaires, des idées ou un avis concernant le fonctionnement et la fonctionnalité de Hager Pilot App, que Hager puisse librement utiliser toutes suggestions sans aucune restriction ou compensation de l’Utilisateur afin d'améliorer tout ou partie des services fournis par Hager et l’utilisateur déclare par la présente que les informations ou l’avis qu’il partage ou soumet par le biais des Services ne sont pas confidentiels ou exclusifs. 

12. PROTECTION DES DONNEES ET UTILISATION DES DONNEES PERSONNELLES

 

12.1. Politique de confidentialité et note d’information sur les cookies :
Les présentes Conditions d'utilisation sont complétées par la Politique de confidentialité et la note d’information sur les cookies accessibles à l’adresse : https://hagergroup.com/fr/data-protection qui s'appliquent également à toute utilisation de Hager Pilot App. 

12.2. Hager traite les données personnelles conformément à la législation sur la protection des données et à notre politique en matière de confidentialité et de cookies, qui peut être consultée à l'adresse https://hagergroup.com/fr/data-protection et dont les termes sont intégrés aux présentes Conditions. Hager s’engage à stocker les données personnelles en toute sécurité. En aucun cas Hager ne donnera ou vendra des informations relatives aux utilisateurs à des tiers ou à des organisations, à l'exception des fournisseurs de services mandaté par Hager aux fins de fournir les services. 

12.3. L’Utilisateur garantit, acceptez et s’engage à se conformer à la législation sur la protection des données en ce qui concerne toute obligation relative à ses propres données personnelles et/ou aux données personnelles des utilisateurs finaux.

12.4. Les données suivantes sont collectées et traitées par l'Application :

- Données saisies par l’utilisateur. Données que les Utilisateurs fournissent volontairement en remplissant les différents formulaires dans le cadre de leur utilisation de l'Application, qu'il s'agisse de leurs propres données personnelles (voir clause 13.11) ou de données relatives à des tiers (voir clause 13.2). 

12.5. Les Données Personnelles, identifiées comme obligatoires sur les formulaires de Hager Pilot App, que l'Utilisateur est tenu de fournir pour l'utilisation de cette dernière sont nécessaires pour pouvoir bénéficier des fonctionnalités correspondantes de l'application et, plus particulièrement, des opérations sur le contenu fourni au sein de cette dernière. Elles sont utilisées pour la création du compte Client, le traitement de la relation Client et de toute demande y afférant, ainsi que pour l'exécution des Services Hager, et peuvent également être utilisées à des fins de prospection commerciale relative à des produits et/ou services analogues.

12.6. Ces données pourront être communiquées aux partenaires de HAGER chargés de l'exécution, du traitement et de la gestion de la relation client et des services à ces seules fins. 

12.7. Les utilisateurs sont par ailleurs informés que leurs Données Personnelles peuvent faire l'objet d'un transfert en dehors de l'Union européenne. Afin de garantir un niveau de protection suffisant, HAGER a convenu avec ses sous-traitants de clauses contractuelles types relatives au transfert de données à caractère personnel à des sous-traitants établis dans des pays tiers en vertu de la directive 95/46/CE du Parlement européen et du Conseil de l’Europe. 

12.8. Après accord préalable de l'Utilisateur, HAGER se réserve le droit d'utiliser et de communiquer ces informations à des tiers ou à ses partenaires et notamment aux sociétés du groupe HAGER auquel appartient HAGER, dans le cadre d'opérations marketing et commerciales conjointes ou non, par SMS, MMS, e-mail ou appels automatisés.

12.9. Conformément à la Législation sur la protection des données, les Utilisateurs sont donc informés que HAGER procèdera à un traitement automatisé de leurs données personnelles dans le cadre de leur utilisation de l'Application. 

12.10. Les données collectées lors de l'utilisation de l'Application sont conservées sur le Cloud fourni par Microsoft Azure, dans des centres de données situés en Europe, conformément à la législation applicable en matière de protection des données. 

12.11. L'Utilisateur est informé que des données personnelles sont collectées lors de l'enregistrement de son compte personnel myHager, conformément aux dispositions de la charte de confidentialité et des conditions d'utilisation qui le régissent.

12.12. HAGER est le responsable du traitement des données à caractère personnel relatives à l'Utilisateur, au sens de la législation applicable en matière de protection des données, collectées et traitées dans le cadre de son inscription à myHager. 

12.13. Conformément à la législation sur la protection des données, l'Utilisateur dispose d'un droit d'accès, de rectification et d'opposition à ses données personnelles. Ce droit peut être exercé en se rendant sur le site https://www.hagergroup.com/GDPR-request

12.14. Données personnelles de tiers dans Hager Pilot App :
Dans le cadre de leur utilisation de l'Application, les Utilisateurs ont la possibilité de saisir des données personnelles relatives à leurs clients (ex : prénom, nom, adresse e-mail, adresse, etc.) afin d'identifier les différents projets et de compléter leur cahier des charges. L'Utilisateur est seul responsable du traitement des données à caractère personnel relatives à toutes personnes qu'il renseigne dans l'Application. L'Utilisateur s'engage, garantit et à respecter les obligations qui lui incombent en vertu de la réglementation sur les données personnelles. HAGER n'est responsable que de l'hébergement, de la sécurité et de la sauvegarde de ces données. 



13. FIREBASE ANALYTICS - GOOGLE

 


L'Application Hager Pilot intègre le service " Firebase Analytics " fourni par Google qui permet de collecter et d'analyser automatiquement certaines données relatives à l'utilisation faite de l'Application Hager Pilot dans le but d'établir des statistiques et d'améliorer l'expérience de navigation de l'Utilisateur au sein de l'application. Ces données peuvent être utilisées pour identifier l'Utilisateur : il s'agit par exemple d'identifier les écrans les plus utilisés et leurs modes d'utilisation afin d'optimiser les performances lors de l'utilisation. Lors du premier démarrage de Hager Pilot App, l'Utilisateur peut donner son consentement à l'utilisation de Firebase Analytics. L'utilisateur pourra également modifier ultérieurement la sélection effectuée dans les paramètres de l'application. 14. SERVICE DE NOTIFICATION 


L'Application Hager Pilot intègre des services de notification à destination des Utilisateurs, notamment des notifications push, fournis par un tiers (Batch) qui sont utilisés pour collecter et analyser automatiquement certaines données relatives à l'utilisation faite de l'Application Hager Pilot aux fins d'envoyer des notifications aux Utilisateurs. Lors du premier démarrage de Hager Pilot App, l'Utilisateur peut donner son consentement à l'utilisation de ce service. Il pourra également modifier ultérieurement la sélection effectuée dans les paramètres de l'application.


15. LIENS VERS D'AUTRES APPLICATIONS 


Hager Pilot App peut contenir des liens vers d'autres applications ou sites internet. Sauf mention expresse, ces sites ne sont pas sous le contrôle de Hager et ne Hager n’est pas responsable de leur représentation ou de leur contenu. Hager n'assume aucune responsabilité pour le contenu de ces liens/applications tiers et décline toute responsabilité pour toute forme de perte ou de dommage résultant de l'utilisation de ces derniers. 

16. FRAIS 


L'utilisation de Hager Pilot App n’est pas facturée par Hager. 

17. RESPONSABILITÉ ET LIMITATION 


17.1. Rien dans la présente clause n'exclut ou ne limite la responsabilité de l'une ou l'autre des parties pour : 
17.1.1. les déclarations frauduleuses ; 
17.1.2. toute responsabilité lorsque la loi ne permet pas une telle exclusion de responsabilité ; et, 
17.1.3. le décès ou les dommages corporels résultant d'une négligence. 

17.2. Sous réserve du paragraphe précédent, HAGER n'est PAS responsable en cas de manquements au contrat, de fausse déclaration de l’Utilisateur, ou de toute perte de profits, perte d'activité, épuisement du fonds de commerce et/ou pertes similaires ou perte ou corruption de données ou d'informations, ou perte économique pure, ou pour toute perte spéciale, indirecte ou consécutive, ou coûts, dommages, charges ou dépenses, quelle qu'en soit la cause. 

17.3. HAGER n'est PAS responsable :
17.3.1. des dommages directs ou indirects, des pertes ou des dépenses résultant de l'utilisation de Hager Pilot App :
17.3.2. de l'impossibilité de l'utiliser, où 
17.3.3. de l'accès ou de l'utilisation, ou de l'impossibilité d'accès ou d'utilisation pour quelque raison que ce soit, où 
17.3.4. son fonctionnement incorrect, son interruption pour des raisons de maintenance, 
17.3.5. d'un dysfonctionnement technique du serveur ou d'une interruption de l'accès à l'internet, ou pour toute autre raison, ou d'un virus, ou d'un problème de ligne ou de système, ou d'une panne d'électricité. 
17.3.6. d'une confiance dans l'exhaustivité et l'exactitude des informations fournies par le biais de Hager Pilot App où 
17.3.7. toute modification que HAGER peut apporter à l'Application de manière générale, ou toute suppression temporaire ou définitive des fonctionnalités de Hager Pilot App. 

17.4. Sous réserve du premier paragraphe, HAGER n'est PAS responsable envers l’Utilisateur du fait de : 
17.4.1. d'une violation des présentes Conditions ou d'une violation de garantie ou d’actes ou omissions, y compris l’utilisation ou incapacité à utiliser Hager Pilot App par l’Utilisateur ; 
17.4.2. toute confiance accordée par l’Utilisateur à l'exhaustivité, l'exactitude ou l'existence de tout contenu (ou du Contenu Utilisateur) ; 
17.4.3. toute modification que HAGER peut apporter à Hager Pilot App, ou pour toute cessation permanente ou temporaire de la fourniture des Services Hager (ou de toute fonctionnalité au sein de Hager Pilot App) ; 
17.4.4. la suppression, la corruption ou l'incapacité à stocker le Contenu Utilisateur et d'autres données de communication conservées ou transmises lors de l’utilisation des services ;
17.4.5. la disponibilité de sites ou de ressources de tiers, ou en raison de la confiance accordée à l'exhaustivité, à l'exactitude ou à l'existence de toute publicité, de tout produit ou de tout autre matériel sur, ou disponible à partir de, ces sites web ou ressources ; ou, 
17.4.6. les actes, les omissions et la conduite de tout utilisateur en rapport avec, ou liés à, l’utilisation de l'Application. 

17.5. Le seul et unique recours contractuel, délictuel (y compris en cas de négligence ou de violation d'une obligation légale, de fausse déclaration, ou autre), découlant de tout manquement de HAGER à se conformer à son obligation énoncée à la clause 5.2 sera tel que prévu à l’article 5.4. 

17.6. L’Utilisateur indemnisera et dégagera HAGER de toute responsabilité sur demande, et maintiendra HAGER entièrement et efficacement indemnisée contre toutes les pertes subies par HAGER, ou revendiquées contre HAGER, découlant de ou en relation avec : 

17.6.1. toute violation des obligations de l’Utilisateur (autre que et dans la mesure où toute perte résulte directement de la violation de ces conditions) ; 

17.6.2. toute action ou réclamation selon laquelle une partie de Votre Contenu téléchargé par l’Utilisateur sur l'Application Hager Pilot enfreint les droits de propriété intellectuelle d'un tiers ou est considéré comme un contenu inapproprié ; ou, 

17.6.3. toute plainte déposée par un autre Utilisateur à votre sujet. 

17.7. HAGER ne donne aucune garantie et exclut tous les autres termes, conditions et garanties explicites ou implicites dans toute la mesure permise par la loi, à l'exception de ce qui est expressément stipulé dans les présentes conditions. 

18. RÉSILIATION, CONSÉQUENCES DE LA RÉSILIATION ET SURVIE 


18.1. Résiliation : 
Sans limiter tous autres droits, Hager peut suspendre ou résilier le contrat avec l’Utilisateur ou révoquer son accès à Hager Pilot App avec effet immédiat en adressant une notification écrite si : 
18.1.1. L’utilisateur commet une violation substantielle de l'un des termes du Contrat et (si une telle violation est remédiable) ne remédie pas à cette violation dans les 5 (cinq) jours suivant la notification écrite qui lui a été adressée à cet effet ; 
18.1.2. Hager ne peut pas/plus fournir de services dans la zone géographique de l’Utilisateur ; 

18.2. Hager informera l’Utilisateur par courrier électronique et ne sera tenu d’aucune compensation pour toute déception subie. 

18.3. Conséquences de la résiliation. La résiliation des présentes Conditions n'affectera pas les droits et recours acquis avant la résiliation. 

18.4. Survie relative à certaines clauses. Toute disposition du contrat qui, expressément ou implicitement, est destinée à entrer ou à rester en vigueur à la date de résiliation ou après celle-ci, restera pleinement en vigueur. 


19. COMMUNICATIONS 


19.1. Pour les présentes toute communication par écrit inclut le courrier électronique. 

19.2. Toute notification ou autre communication en vertu du contrat ou en rapport avec celui-ci doit être faite par écrit et peut être, soit remise en mains propres, soit envoyée par courrier dûment affranchi ou par courrier électronique. 

19.3. La lettre ou autre communication est réputée avoir été reçue : 
19.3.1. si elle est remise en mains propres, à la signature d'un récépissé de livraison ;
19.3.2. s'il est envoyé par courrier dûment affranchi en lettre prioritaire, le jour ouvrable suivant, à 9 heures (GMT) le deuxième jour ouvrable suivant l'envoi ; ou
19.3.3. s'il est envoyé par courrier électronique, à 9 heures (GMT) le jour ouvrable suivant la transmission. 

19.4. Pour prouver la signification d'un avis, il suffira de prouver, dans le cas d'une lettre, que cette lettre a été correctement adressée, affranchie et mise à la poste et, dans le cas d'un courriel, que ce courriel a été envoyé à l'adresse électronique spécifiée du destinataire. 

19.5. Les dispositions de la présente clause ne s'appliquent pas à la signification de toute procédure ou de tout autre document dans le cadre d'une action en justice.

20. GÉNÉRALITÉS 


20.1. CESSION : 
Hager est habilité à céder les droits et obligations découlant de ce contrat avec effet libératoire. Hager informera toujours l’Utilisateur de cette éventualité et veillera à ce que ses droits en vertu du présent contrat ne soient pas affectés. 
L’Utilisateur ne peut pas transférer ses droits à une autre partie sans le consentement préalable et écrit de Hager. 

20.2. PLAINTES : HAGER s'efforce de respecter les normes les plus élevées lors de la fourniture des services. Hager prend très au sérieux toute plainte qu’elle est susceptible de recevoir à ce sujet. Hager est le premier point de contact pour toutes les plaintes et accueillera favorablement toutes les suggestions visant à améliorer ses procédures. Hager s’efforcera de procéder à une résolution rapide et efficace de tout désaccord. 

20.3. EXÉCUTION : Si l'une ou plusieurs des dispositions des présentes s'avèrent invalides, illégales ou inapplicables à quelque égard que ce soit, la validité et l'applicabilité des autres dispositions contenues dans les présentes ne seront en aucun cas affectées ou compromises et HAGER modifiera les présentes conditions pour ajouter une nouvelle disposition ayant un effet aussi proche que possible, sur le plan juridique, de la disposition jugée invalide, illégale ou inapplicable. 

20.4. INTÉGRALITÉ DE L'ACCORD : Les Conditions (qui incluent la politique de confidentialité et des cookies) constituent l'intégralité de l'accord et de la compréhension entre l’Utilisateur et HAGER en ce qui concerne l'utilisation de l'application Hager Pilot et remplacent tous les accords, arrangements et compréhensions antérieurs relatifs aux questions prévues par les présentes. L’Utilisateur reconnait qu’il ne s’est pas fié aux représentations orales ou écrites faites par HAGER en acceptant ces Conditions, il renonce irrévocablement et inconditionnellement à tout droit qu’il pourrait avoir d'annuler les présentes Conditions ou de réclamer des dommages-intérêts pour fausse déclaration, qu'elle soit innocente ou négligente, ou pour violation de toute garantie non contenue dans les présentes ou implicite par l'effet de la loi. 

20.5. FORCE MAJEURE : Hager se réserve le droit d'annuler ou de révoquer la fourniture de l'un quelconque des services, sans que sa responsabilité ne puisse être engagé, si elle est empêchée ou retardée dans l'exercice de ses activités par un événement de force majeure. 

20.6. DIVISIBILITÉ : Chacune des conditions énoncées dans le présent document s'applique séparément. Si un tribunal ou une autorité compétente décide que l'une d'entre elles est illégale ou inapplicable, les autres conditions resteront pleinement en vigueur. 

20.7. INDEPENDANCE : Les présentes conditions n'ont pas pour objet de créer une relation de partenariat ou de coentreprise entre l’Utilisateur et HAGER, ni d'autoriser une partie à agir en tant qu'agent de l'autre partie, et aucune partie n'a le pouvoir d'agir au nom ou pour le compte de l'autre partie, ni de l'engager de quelque manière que ce soit (y compris, mais sans s'y limiter, la formulation d'une déclaration ou d'une garantie, la prise en charge d'une obligation ou d'une responsabilité et l'exercice d'un droit ou d'un pouvoir quelconque). 

20.8. TIERCES PARTIES : Les présentes conditions ne sont pas destinées à bénéficier à une autre personne ou à un tiers de quelque manière que ce soit et aucune de ces personnes ou parties ne sera autorisée à faire appliquer une quelconque disposition des présentes conditions. 

20.9. ABSENCE DE RENONCIATION : le fait que HAGER n'exerce pas ou n'applique pas un droit conféré ne sera pas considéré comme une renonciation à ce droit et n'empêchera pas l'exercice ou l'application de ce droit ou de tout autre droit à une occasion ultérieure. 

21. JURIDICTION ET LANGUE 


Les présentes conditions sont régies et interprétées conformément au droit français.
Le lieu de juridiction exclusif pour tous les litiges découlant des présentes Conditions Spécifiques d’Utilisation, y compris les litiges relatifs à leur validité, est, dans la mesure où la loi le permet, Strasbourg (France - 67), et ce même en cas de pluralité de défendeurs. Si l’Utilisateur est assimilé à un consommateur et qu’il a sa résidence habituelle dans l'UE, il bénéficie en outre de la protection qui lui est accordée par les dispositions impératives de la loi de son pays de résidence.

If Recipient institutes patent litigation against any entity (including a cross-claim or counterclaim in a lawsuit) alleging that the Program itself (excluding combinations of the Program with other software or hardware) infringes such Recipient's patent(s), then such Recipient's rights granted under Section 2(b) shall terminate as of the date such litigation is filed.

 

All Recipient's rights under this Agreement shall terminate if it fails to comply with any of the material terms or conditions of this Agreement and does not cure such failure in a reasonable period of time after becoming aware of such noncompliance. If all Recipient's rights under this Agreement terminate, Recipient agrees to cease use and distribution of the Program as soon as reasonably practicable. However, Recipient's obligations under this Agreement and any licenses granted by Recipient relating to the Program shall continue and survive.

 

Everyone is permitted to copy and distribute copies of this Agreement, but in order to avoid inconsistency the Agreement is copyrighted and may only be modified in the following manner. The Agreement Steward reserves the right to publish new versions (including revisions) of this Agreement from time to time. Simply including a copy of this Agreement, including this Exhibit A is not sufficient to license the Source Code under Secondary Licenses.
